• Affiliated Business Disclosure

Explanatory note: The form found below was developed by the Special Commission on Multidisciplinary Practice and Ancillary Business. The commission has been charged with enabling lawyers to participate in business ventures not engaged in the practice of law in conformance with The Rules Regulating The Florida Bar, through research and development of business models, prototype forms, ethical guidance and educational programs. The disclosure form is for a lawyer’s use in referring the lawyer’s client to the lawyer’s ancillary business. The form discloses the lawyer’s interest in the ancillary business and informs the client that the client will not have the protections of the attorney-client relationship in dealing with the ancillary business. This form is not required in order to comply with a lawyer’s ethical obligations while engaging in an ancillary business. Any lawyer is free to modify this form to suit the lawyer’s individual needs and concerns.

Affiliated Business Disclosure

My firm, Smith & Jones P.A., has a business relationship with S&J Consultants, Inc. [Describe Relationship].

Smith & Jones, P.A. owns S&J Consultants, Inc. All profits made by S&J Consultants, Inc. will be paid to my firm.

Because of this business relationship, my referral of you to S&J Consultants, Inc. and your use of its services will provide a financial benefit to my firm. You are under no obligation to use S&J Consultants, Inc.

If you deal with S&J Consultants, Inc., you are not dealing with me or my firm as your lawyer. You will not have the protections of the attorney-client relationship such as confidentiality and avoidance of conflict of interests.

I will give you a copy of The Florida Bar’s Rule on this if you want it. I urge you to discuss any aspect of this disclosure and of the Rule with me or with another attorney before signing.

Acceptance
